Subex Azure jumps on Canadian buy

Subex Azure advanced 3.34% to Rs 756.70, after it decided to acquire Syndesis, a leading global provider of telecom solutions, based in Toronto, Canada.As many as 1.61 lakh shares changed hands in the counter on BSE.

The deal values Syndesis at US$ 164.5 million based on TIM revenue of $ 45 million. If completed, this all-cash deal for $ 164.5 million acquisition will be a significant milestone in the company’s drive to become the leading global vendor of telecom OSS (operations support software) solutions.

The acquisition of Syndesis - a recognized leader in the fulfillment and assurance solution segment will enable Subex Azure to extend its product portfolio to field-proven solutions for operational dexterity.

On completion of the transaction, which is expected on or before 31 March 2007, Syndesis will become a part of the company. The expanded company will then reorganize itself into three distinct Strategic Business Units (SBUs) - Revenue Maximization Solutions SBU, Fulfillment & Assurance Solutions SBU and BT Business SBU.

Subex’s current business, excluding business from British Telecom, will form the first SBU, the current Syndesis business will form the second SBU and the current company's business from British Telecom will form the third SBU.

Recently, Subex Azure entered into a strategic partnership with Hitachisoft, one of Japan’s leading IT software development companies, to provide revenue assurance to Japanese telecom operators. Under the terms of the agreement, Hitachisoft has the exclusive selling rights for the Subex Azure Revenue Assurance System (SARAS) in Japan and, therefore, will be able to combine it with its own technology and resell SARAS-based solutions to operators.

SARAS is a complete revenue-assurance (RA) solution designed to tackle critical revenue-assurance challenges across the entire revenue chain.

Last year, Subex Azure Systems completed the acquisition of UK-headquartered Azure Solutions. With a deal size of over $ 140 million, this is the single largest overseas acquisition by an Indian software company. The new entity is called Subex Azure Systems, and enjoys a global leadership position in telecom fraud management and revenue assurance.

This acquisition is a big step in augmenting Subex Azure’s strategic business focus to help telcos establish the Revenue Operations Center (ROC) through an integrated suite of solutions.

For the second quarter ended September 2006, Subex Azure Systems reported 11.30% fall in net profit to Rs 9.14 crore (Rs 10.31 crore). Net sales rose 44.60%, to Rs 60.58 crore (Rs 41.89 crore).
